These sales terms and conditions (“Terms”) are applicable to you (”Customer”) when you purchase a bitely Oral Wearable (“Product”) on the Bitely website available at www.shopbitely.com (“Website”). The Website is managed and operated by Bitely Inc. (“Bitely”, “we”, “us”, “our”).

These Terms apply to the sales contract between you and us, along with the FAQs, Privacy Policy and Terms of Use as available on the Website.

PLACING AN ORDER, ORDER ACKNOWLEDGEMENT AND ORDER ACCEPTANCE

You need to be at least 18 years old to place an order for the bitely Oral Wearable on the Website.

All purchases or orders of the bitely Oral Wearable are subject to the advance payments in full. We shall only deliver fully paid orders.

To place an order for bitely Oral Wearable, kindly visit the Website, fill your personal details such as name, email id, address, phone number, and other information in the order form as available on the Website, confirm your acceptance to these Terms, add the bitely Oral Wearable to your shopping cart, check out (using your chosen payment method) with your account ID or as a guest customer, and have your items shipped to you or to a person designated by you in accordance with these Terms and shipment notification as provided by Bitely.

Alternatively, you can email us on support@shopbitely.com and a Bitely representative will assist you through the order process. Once you have placed your order, we will provide you with a web order number. Within a few minutes after we receive your order, we’ll email you an order confirmation.

PRICING, PRICE CORRECTIONS, DUTIES AND TAXES

Bitely at all times reserves the right to change the prices for the bitely Oral Wearable displayed on its Website and to correct any pricing errors that may inadvertently occur. Any price changes will not affect an order that has already been accepted by Bitely. In the event of a pricing error, we will notify you of the error (via email and/or your other preferred mode of communication, as applicable) and allow you to either proceed with the transaction at the correct price or cancel your order at no cost to you.

Purchasers can see the prices and make purchases in USD (or other currencies as preferred by Bitely) for the bitely Oral Wearable on the Website. For international cards used for purchases, the bank’s applicable exchange rate and charges will apply. We have no jurisdiction on this and any disputes or queries on exchange rates and bank charges need to be directed to the bank or institution that issued your card or payment instrument.

All orders are acknowledged at current pricing. We will bill at price in effect at the time of receipt of money and raising of an invoice. The shipping and handling charges are given at the time of check out and you will know about this before making payments.

If you are purchasing the bitely Oral Wearable from outside the United States, you will have to pay any applicable Customs duty/Sales Tax/VAT/GST as per your country's rules.

SHIPPING AND DELIVERY

All deliveries are subject to stock availability. We will keep you updated on any adjustments to the delivery schedule. Before you order the bitely Oral Wearable, we recommend you know your exact fit. Please note, each order involves two stages of fulfillment:

Fulfillment Stages and Contract Performance

By placing an order for a bitely Oral Wearable, you agree that the purchase involves a two-stage fulfillment process:

  1. Stage 1 – Impression Kit Delivery:
  2. Upon shipment of your impression kit, bitely has initiated the custom manufacturing process and fulfilled a significant portion of the service obligation. This includes product preparation, packaging, shipping logistics, and the allocation of materials and labor specific to your order.
  3. Shipment of the impression kit constitutes partial fulfillment of your order. Accordingly, partial refunds or cancellation fees apply at this stage to cover these costs.
  4. Stage 2 – Custom Device Fabrication:
  5. Once your impressions are received and approved, Bitely begins production of your custom night guard. At this point, your order is considered substantially fulfilled and non-cancellable, as materials and labor are uniquely applied to your specifications.
  6. Because the bitely Oral Wearable is a custom-manufactured device, it cannot be reused, resold, or repurposed once fabrication begins.

You must confirm and return your impressions within 45 days of receiving the impression kit. If the Customer fails to return impressions within the 45 days’ time period, despite reminders from bitely to the communication details provided at the time of placing the order, the order shall be considered as complete and fulfilled and the payment made at the time of ordering will be forfeited for breach of obligations. Under the foregoing circumstances, by sending the impression kit, bitely has performed its part of the contract in full. After this period, no refunds, replacements, or claims regarding the order/goods will be entertained.

Upon confirmation and approval of your impressions by you, we will make best efforts to deliver the bitely Oral Wearable to you within 4–6 weeks (in the U.S.). International deliveries may take longer and we will keep you updated on the estimated delivery dates. Please note that the actual delivery of your order can be impacted by many events beyond our control and we shall not be held liable for the same. We will, however, notify you of any significant delays and work with you to ensure a smooth delivery. We will not be liable for late deliveries by the parcel providers or in case of force majeure at our end or delivery parcel provider’s end or IT systems disruption.

Once your order ships, you’ll receive an email containing your order details, courier and tracking information. Make sure that the email address on your order is correct. If you do not receive the emails, check your spam folder.

The risk of loss or damage to the bitely Oral Wearable shall pass to you when you, or a person designated by you, acquires physical possession of the bitely Oral Wearable. We are not responsible if the bitely Oral Wearable is lost or damaged after delivery to you.

Upon delivery of the product, you will receive a delivery notification via email or text message. Subject to applicable laws, you must inspect the product and report any discrepancies or non-receipt to us within 24 hours of receiving the delivery notification. If you fail to notify us within this timeframe, the delivery will be deemed completed and accepted by you, and we will not be liable for any subsequent claims related to the delivery. However, we may, at our discretion, review and address any concerns raised by you after this period based on the specific circumstances.

OFFICIAL SUPPORT

We provide official post-purchase support, warranty, customer service, and other related services exclusively for products purchased directly through our official website or from authorized retailers. If you have purchased our product through an unauthorized reseller, we recommend that you contact the seller directly for any post-purchase support. We do not extend post-purchase support or warranty coverage to products acquired from unauthorized resellers, including those sold on third-party platforms such as eBay, Amazon, or other similar sites.

To ensure you receive the full benefits of our support and warranty coverage, we encourage you to purchase from our authorized channels. We shall not be responsible for providing warranty support, repairs, or replacements for products obtained through unauthorized channels.

CHANGES TO YOUR ORDER

We may be unable to accept any changes to your order in the following circumstances: (i) once your order has been prepared on the basis of your earlier confirmation of fit and/or details, and (ii) once you receive a shipment notification i.e. when the bitely Oral Wearable has been prepared for shipping, or the bitely Oral Wearable has been shipped. Once you receive a shipment notification, we may be unable to change the delivery address as well.

CANCELLATIONS

You can cancel your order before the order has been shipped by writing to us at support@shopbitely.com. A refund will be issued to the original payment method.

DAMAGED OR DEFECTIVE ORDERS

If you have received your order and find that it is damaged or defective, please email us at support@shopbitely.com, within 24 hours of receipt of your order. The request will, however, be entertained once a Bitely team member has checked and determined the same at their own end.

In case of any damage to your delivery, Bitely will be in direct contact with the courier to resolve the issue as quickly as possible. We will make every effort to contact you and keep you informed of the progress of our investigation and, where appropriate, deliver a replacement.

EXCHANGES AND RETURNS

Because each bitely Oral Wearable is custom-fabricated to the unique dental impressions of each customer, exchanges and returns are not permitted under any circumstances once impression processing or production has begun.

bitely Oral Wearables are considered personal custom-fit devices and cannot be resold, refurbished, or redistributed. As such, all sales are final.

Exceptions will only be made in cases of verified manufacturing, fit or electronic defects, as determined by bitely’s quality assurance team. Any approved resolution will be handled through repair or replacement only, at bitely’s discretion — not refund.

WARRANTY

Subject to applicable laws, Bitely provides a 90-day limited warranty from the date of delivery covering only the embedded electronic components of the bitely Oral Wearable (including sensors, battery, charging contacts, and related electronics) (“Warranty”).

This Warranty covers defects in materials or workmanship of the electronics under normal intended use and proper care. It does not cover physical, cosmetic, or chemical changes resulting from normal oral wear, handling, or environmental exposure.

bitely is not responsible for damage or malfunction caused by:

(a) improper fit due to inaccurate impressions or changes in teeth structure;
(b) cleaning or storage errors (including chemical exposure, heat, or soaking in inappropriate substances);
(c) moisture or saliva-related corrosion;
(d) impact, bending, or dropping;
(e) attempts to modify or repair the device; or
(f) general wear and tear consistent with daily use.

This Warranty also does not imply or guarantee any form of protection against bruxism, tooth damage, or medical conditions. The bitely Oral Wearable is a general wellness and behavioral awareness device, and its use does not substitute professional dental evaluation or treatment.

Bitely’s obligation under this Warranty is limited to repair or replacement of the defective electronic portion of the device, at Bitely’s sole discretion. Proof of purchase and serial identification may be required for service.

This Warranty is the exclusive remedy available to the Customer. Bitely disclaims all other warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose.

ORDER CANCELLATION BY BITELY

bitely is entitled to cancel the order under following circumstances:

  1. you do not pay the price in case of a price correction;
  2. we cannot fulfil the order based on circumstances outside of our control. This includes instances where the Customer fails to confirm impressions despite reminders from Bitely;
  3. the ordered bitely Oral Wearables are out of stock or are not manufactured anymore;
  4. you refuse or fail to provide necessary cooperation;
  5. the costs of fulfilling the order increased substantially between the date of payment and the date of delivery of the goods;
  6. for any other reasons in our sole discretion.

ADDITIONAL CONDITIONS

Bitely shall not be responsible and it shall be your responsibility to check, with your local regulatory or competent authorities, whether the bitely Oral Wearable which you are planning to order or have ordered can be imported and used by you in your country of residence. It is recommended that you obtain confirmation from your local authorities prior to placing an order on the Website.

bitely Oral Wearable available for purchase on the Website is compliant with U.S. laws and regulations. Bitely disclaims any and all liability for not being compliant with local applicable laws if bitely Oral Wearable and Bitely services are to be used or imported in any other country.

bitely Oral Wearable may be subject to taxes, customs duties and fees levied by the destination country ("Import Fees"). The recipient of the shipment is the importer in the destination country and is responsible for all Import Fees.

Save and except where mandated by applicable laws, if for any reason, purchase price is to be refunded to the buyer and the shipping total paid to Bitely included Import Fees, Bitely shall not be able to refund the Import Fees. For the avoidance of doubt, if the customer is cancelling the online order due to an issue on our end (e.g., product unavailable), we shall refund all fees, including duties and taxes if already paid by the customer.

GOVERNING LAW & JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of the United States of America, and subject to the exclusive jurisdiction of its courts.

REFUND EXCEPTIONS – DISCRETIONARY GOODWILL

In select cases, and at bitely’s sole discretion, a partial refund (less applicable costs such as the impression kit and administrative fees) may be considered if a Customer does not confirm their impressions within 45 days. This does not create any binding obligation on bitely, and any such refund shall be granted solely as a gesture of goodwill, unless otherwise required by applicable law.
